Acknowledgement

These are the are the Legal Terms governing the use of this Service and the agreement that operates between you, whether personally or on behalf of an entity (“You”), and Protokol DPP B.V., trading as “Provenant” (“Company,” “we,” “us,” “our”), a company registered in The Netherlands at Keizersgracht 391A, 1016EJ Amsterdam.

We operate the website https://www.provenant.com (the “Site”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”, “Terms”, “Terms and Conditions”) (collectively, the “Services”)

Your access to and use of the Services is conditioned on Your acceptance of and compliance with these Legal Terms. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Services, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, then You may not access the Service.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Services.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company.

User Accounts

When You register and create an account with us to use our Services or parts of our Services (“Account”), You must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.

Your Account may have multiple users each of whom must be registered under your Account with a valid email address and password in order to access and make use of the Services.

You are responsible for safeguarding the password(s) that You use to access the Services and for any activities or actions under Your password(s), whether with our Services or a third-party service.

You agree not to disclose Your password(s) to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of Your Account. You must notify us immediately once a user registered under your Account no longer requires access to all or part of the Services. We shall not be held liable for any unauthorised use of Your Account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscene.

Intellectual Property

The Services and its original content including all databases, drawings, features and functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”), excluding Content provided by You or other users, are and will remain the exclusive property of the Company and its licensors.

Our Content and Marks are protected by copyright, trademark, and other laws of The Netherlands, the European Union, and foreign countries.

The Content and Marks are provided in or through the Services “as is” for your personal, non-commercial use or internal business purpose only. They may not be used in connection with any product or service without the prior written consent of the Company.

You retain full ownership of all Content provided by You to the Company. The Company is granted a limited, non-exclusive license to use the Content solely for the purpose of delivering the agreed-upon services. This license is restricted to what is necessary for the operation of the Service and cannot be used for any other purpose. Upon cancellation of your subscription or its termination, we will return or securely delete Your Content as instructed.

Your Right to Post Content and Information

Our Services allow You to post, upload, and download content and information including but not limited to information regarding your business operations, operating facilities, products, suppliers, contractors, distributors, customers, consumers, recyclers, and other relevant third-party information (collectively, the “Information“).

You are responsible for the Content and Information that You post to the Service, including its legality, reliability, accuracy, and appropriateness.

By posting Content or Information to the Service, You grant us the right and license to use, modify, publicly perform, publicly or privately display, reproduce, and distribute such Content and Information on and through the Services. You retain any and all of Your rights to any Content and Information You submit, post or display on or through the Services and You are responsible for protecting those rights. You agree that this license includes the right for Us to make Your Content and Information available to other users of the Service, who may also use Your Content and Information subject to these Terms.

You represent and warrant that: (1) the Content and Information is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (2) the posting of Your Content and Information on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

In the provision of the Services, data is collected and used to ensure smooth service delivery, respond to user requests, and support operational needs, adhering to privacy guidelines. Data associated to Your Content or Information may be stored, processed, and transferred internationally, in compliance with legal frameworks. Such data may be transferred across jurisdictions, including outside the EEA, depending on third-party service providers’ locations. Industry-standard security measures are used to protect the integrity and confidentiality of such data.

Data Protection and Privacy

The Company is committed to safeguarding Your data and will process it solely for the purposes of providing the agreed services. The Company will comply with applicable data protection laws and ensure that the Your data is securely handled, stored, and protected. Any proprietary or confidential information shared by You, and identified as such, will remain protected, with exceptions and restrictions on its use or disclosure as instructed by you in writing. The Company will not share, sell, or disclose Your data to any third party without prior consent, except as required by law. Upon cancellation of your subscription or its termination, we will return or securely delete Your data as instructed.

Content and Information Restrictions

The Company is not responsible for the content of the Service’s users. You expressly understand and agree that You are solely responsible for the Content and Information and for all activity that occurs under your account, whether done so by You or any third person using Your account.

You may not transmit any Content or Information that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:

Unlawful or promoting unlawful activity.
Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
Spam, machine – or randomly – generated, constituting unauthorised or unsolicited advertising, chain letters, any other form of unauthorised solicitation, or any form of lottery or gambling.
Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
Impersonating any person or entity including the Company and its employees or representatives.
Violating the privacy of any third person.
False or misleading information and features.

The Company reserves the right to make formatting and edits and change the manner of any Content or Information. The Company further reserves the right, but not the obligation, to determine whether or not any Content or Information is appropriate and complies with this Terms, refuse or remove this Content or Information. The Company can also limit or revoke the use of the Services if You post such objectionable Content or Information. You agree that under no circumstances will the Company be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion with notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. In the event of planned maintenance that may result in interruptions, delays or errors, you may be notified in advance. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

We cannot be held responsible or liable for interruptions, delays or errors related to the Services resulting directly or indirectly from conditions beyond our reasonable control (“Force Majeure”). In the event of such a Force Majeure, you will be notified promptly, and we will use reasonable efforts that are consistent with accepted practices in the software industry to resume the Services as soon as practicable under the circumstances.

Fair Use Policy

Our Services are intended for Fair Use by You and Your users to ensure fair and equal access to the Services, while preventing abuse or misuse of the Services. We retain the exclusive right to determine the activities that may be deemed unreasonable use of the Services. Unreasonable use of the Service includes, without limitation, any use:

which interferes with others’ use or access of the Services;
which causes significant congestion or reduces our ability to fairly and equitably provide the Services to other users;
which constitutes abnormal or excessive use of the Services compared to the contractually agreed estimated use;
which attempts to bypass or manipulate limitations or usage restrictions on the Services; or
which attempts to interfere with, disrupt, or compromise the integrity and security of the Services.

We are under no obligation to monitor your compliance with this Fair Use Policy. However, we may from time to time take steps to detect and prevent unreasonable use of the Services or use otherwise in breach of this Fair Use Policy. For example, we may apply usage control limits to certain features of the Services to prevent unusual or excessive use of the Services. If you believe the Services have been misused by a third party, have been barred as a result of an accident or error, or wish to request that usage limit controls placed on your use of the Services be removed, please contact us. We may agree to remove usage limit controls placed by us on a case-by-case basis where you have legitimate reasons to exceed these limits and we agree that it is reasonable to do so.

If you are in breach of this Fair Use Policy, we may take remedial action. Where reasonable, we will notify You that you are in breach of this Fair Use Policy. If we, in our sole discretion, deem your usage to be a minor breach of this Fair Use Policy, we may first request that you modify your use of the Services in a manner that brings it in compliance with this Fair Use Policy, before we take any other action.

If we deem your usage to be a material breach of this Fair Use Policy, to have serious consequences to others, or to remain uncorrected within a reasonable period after we have notified you of the breach, we may immediately, without any liability to us, suspend or limit all or any part of the Services, implement technical mechanisms to prevent behaviour which breaches this Fair Use Policy, and/or take any other action we deem necessary, including action to recover costs and expenses.

Trial Services

You may be invited to participate in the review and testing of pre-release versions of the Services or new tools and enhancements within the Services which may be identified as “soft launch”, “beta”, “early access”, “evaluation”, “preview”, “test”, “pre-release”, or a similar term (collectively, the “Trial Services”). Such Trial Services shall be made available until the earlier of: (1) the end of the proof-of-concept period or beta testing period as communicated by the Company; (2) the start date of any purchased version of the Services; or (3) written notice of termination from the Company (“Trial Services Period”). You are authorised to use Trial Services only for evaluation and not for any business or productive purposes, unless otherwise authorised by us in writing. There is no guarantee that features or functions of the Trial Services will be available, or if available will be the same, in the general release version of the Services, and You should review the features and functions of the Services before making a purchase. We will be under no obligation to provide any support services with respect to the Trial Services. Notwithstanding anything to the contrary, we provide the Trial Services “as is” and “as available” without any warranties or representations of any kind.

Support and Professional Services

As part of the provision of the Services, we will provide technical support to You in accordance with the Support Services terms applicable to the Services You have purchased.

You may separately purchase from us professional services in relation to the Services pursuant to our then applicable professional services terms. In order to do so, you can contact us by sending an email at info@provenant.com.

Cancellation and Termination

You can cancel Your subscription at any time by logging into Your Account. Your cancellation will take effect at the end of the current contracted and/or paid term.

We may terminate or suspend Your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. CERTAIN INTERNATIONAL LAWS AND US STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

“AS IS” and “AS AVAILABLE” Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND INFORMATION, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Content, Information or Submissions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Governing Law

The laws of The Netherlands, excluding its conflicts of law rules, shall govern this Legal Terms and Your use of the Services. Your use of certain features and functionalities in the Services may also be subject to other local, state, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally through negotiation by contacting the Company. Any dispute that cannot be resolved through negotiation shall proceed to mediation within 45 days. Should mediation fail, the matter will be settled by arbitration, conducted in Amsterdam, The Netherlands, in English. The decision of the arbitration will be final and binding. In case of urgent matters requiring immediate action, either we or you may seek interim or injunctive relief from the appropriate court to protect intellectual property or confidential information.

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country which you are resident in.

United States Legal Compliance

You represent and warrant that (1) You are not located in a country that is subject to the European Union or United States government embargo, or that has been designated by the European Union or United States government as a “terrorist supporting” country, and (2) You are not listed on any European Union or United States government list of prohibited or restricted parties.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Legal Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
